Westcott Designs, Inc. Minimum Advertised Pricing (MAP) Dealer Agreement

This Minimum Advertised Pricing (MAP) Policy (“Policy”) has been established by Westcott Designs, Inc. (“Westcott Designs”) to protect the integrity of our brand, support fair competition, and maintain long-term profitability for our authorized resellers (“Dealer”).

By signing this Agreement, Dealer acknowledges receipt of the Policy and agrees to adhere to the terms outlined below.

 

1. Policy Statement

– Westcott Designs has adopted this Policy unilaterally.
– Nothing in this Policy constitutes an agreement between Westcott Designs and Dealer regarding compliance.
– All interpretations and enforcement are at the sole discretion of Westcott Designs.

 

2. MAP Requirements

– Dealer shall not advertise Westcott Designs MAP Products below the published MAP price list.
– This applies to all media, including but not limited to: print, broadcast, catalogs, mailers, email, websites, online marketplaces, and social media ads.

– Exceptions:

  • In-store (brick-and-mortar) signage is exempt.
  • Online “in-cart” pricing, “call for price,” or “email for price” promotions are exempt.

 

3. MAP Pricing Updates

– Westcott Designs will provide Dealers with an updated MAP price list as needed.
– Changes to MAP Products or pricing will be provided in writing at least 72 hours prior to enforcement.

 

4. Violation Policy

Violations of this Policy will result in the following actions:

– First Violation (Strike 1): Written warning with 24 hours to correct violation.
– Second Violation (Strike 2): Suspension of shipments and account hold for 30 days.
– Third Violation (Strike 3): Termination of dealership and removal from Westcott Designs’ authorized reseller list.

*Westcott Designs reserves the right to take immediate action, including suspension or termination, for severe violations.*

 

5. Authority

– No Westcott Designs employee or representative has authority to modify or negotiate MAP Policy terms.
– All decisions regarding interpretation, application, and enforcement are at the sole discretion of Westcott Designs, Inc.

 

6. Acknowledgment

Dealer acknowledges that Westcott Designs has adopted this Policy independently and unilaterally, and that Westcott Designs does not seek or accept agreement regarding compliance. Dealer’s signature below simply acknowledges receipt and understanding of the Policy.
